Limited by shares
The usual choice for a business that makes a profit. The owners hold shares, and can take profit out as dividends. If the company has debts, you only risk what you’ve put in.
Limited by guarantee
For clubs, charities and community groups that don’t pay profits to owners. Instead of shares, members promise a small amount, often £1, if the company can’t pay its debts.
LLP
A partnership with at least two members, where each member’s personal risk is limited. Profits are shared between the members. Common for professional firms.
| Kind of company | Our fee | VAT | Companies House fee | You pay |
|---|---|---|---|---|
| Company (shares or guarantee) | £30 | £6 | £100 | £136 |
| LLP | £60 | £12 | £100 | £172 |
Our fee and the VAT on it are ours. The Companies House fee is paid straight on to Companies House, and has no VAT.
Same day: want the company set up today? The Companies House fee is £156 instead of £100 (£56 more). It’s only possible on weekdays, if you order before 12 noon.
Identity check: if someone doesn’t have a Companies House ID code, we can check their identity for you. It’s £60 + VAT (£72) for each person.
Which companies can I set up here?
Companies limited by shares, companies limited by guarantee, and LLPs. They all use model articles, which are the standard rules for running a company. If you need your own rules, please call us on 0161 660 4464.
What do I need?
A UK address for the company’s official address (where official post is sent). For each director, member, or person who owns or controls the company, we need their details and a Companies House ID code.
What if someone doesn’t have an ID code?
We can check their identity for you and get the code. Add it to the same order. It’s £60 + VAT for each person.
Is Corporation Tax included?
Yes, for companies limited by shares or by guarantee. Corporation Tax is the tax a company pays on its profits. We sign the company up with HMRC (the tax office) at the same time, at no extra cost.
Do you give the company an official address?
No. The company uses its own UK address.
What happens to the ID codes and home addresses?
We only use them to file for you. We never email them or show them in full, and we delete them once Companies House has set up the company.
